1. Risk & Liability

• Limitation of Liability: Caps the maximum amount of damages one party can recover from the other in the event of a legal claim.
• Indemnification: Requires one party to cover the legal costs and damages if the other party is sued by a third party due to their work.
• Warranty Disclaimer: Clarifies that a product or service is provided "as is," explicitly limiting guarantees.

2. Dispute Resolution & Legal Framework

• Governing Law / Choice of Law: Identifies exactly which state or country's laws will be used to interpret the contract.
• Jurisdiction / Venue: Specifies the exact court or geographic location where any lawsuits must be filed.
• Arbitration / Mediation: Dictates whether disputes must be settled out of court through binding arbitration rather than traditional litigation.

3. General & Administrative Rules

• Force Majeure: Protects both parties from liability if an unforeseeable, unavoidable event (like a natural disaster) makes fulfilling the contract impossible.
• Severability: States that if a court finds one specific clause of the contract invalid, the rest of the agreement remains legally binding.
• Integration / Entire Agreement: Asserts that this written document is the final, complete agreement, and invalidates any prior verbal promises or negotiations.
• Assignment: Controls whether a party can transfer their rights or obligations under the contract to a third party.
